Effective Date: April 13, 2026

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Eve-Theology, LLC, a Nevada limited liability company and wholly-owned subsidiary of MindHYVE.ai, Inc., a Nevada C-Corporation (collectively, "Company," "we," "us," or "our"), governing your access to and use of the TheoAI™ platform, including all related products, services, applications, websites, and application programming interfaces (collectively, the "Services").

1. Acceptance of Terms

1.1. By accessing, browsing, or using any TheoAI™ product—including Theo, Majlis™, Mizan™, the TheoAI marketing site, or any associated subdomain—you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Services.

1.2. These Terms apply to all users of the Services, including without limitation users who access the Services through the following domains and any successor URLs: chat.theogrid.ai, majlis.theogrid.ai, mizan.theogrid.ai, and www.theogrid.ai.

1.3. We reserve the right to update or modify these Terms at any time in accordance with Section 14. Your continued use of the Services following any such modification constitutes your acceptance of the modified Terms.

2. Service Description

2.1. TheoAI™ is an agentic artificial intelligence platform that provides Islamic scholarly research tools. The platform generates Evidence-Based Opinions ("EBOs")—structured presentations of Islamic primary sources accompanied by transparent reasoning chains, source citations, and computational confidence levels.

2.2. The Services are designed to facilitate access to Islamic primary source literature, including Quranic text, hadith collections, and scholarly commentary, through AI-assisted research and analysis tools.

Critical Disclaimers

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • TheoAI™ is NOT a mufti, Islamic scholar, religious authority, or qualified juristic body. The platform is a computational tool and does not possess scholarly authority (ijazah) in any Islamic discipline.
  • Evidence-Based Opinions (EBOs) are NOT fatwas, religious rulings, binding legal opinions, or authoritative scholarly judgments. EBOs are algorithmically generated summaries of primary source material and should be treated as informational references only.
  • TheoAI™ does NOT replace consultation with qualified Islamic scholars. For matters of religious practice, jurisprudence (fiqh), creed (aqidah), or any issue requiring scholarly adjudication, users must consult qualified, recognized scholars or muftis.
  • Users must exercise independent judgment and consult appropriate qualified authorities for all religious, legal, medical, financial, or personal decisions. Reliance on TheoAI™ outputs for such decisions is at the user's sole risk.
  • All TheoAI™ outputs are informational and educational in nature. No output of the Services should be construed as professional advice of any kind.

3. Products and Service Tiers

3.1. Theo (Consumer Product) — Available at chat.theogrid.ai. Theo provides AI-assisted Islamic research for individual users. Service tiers include:

  • Free Tier: Limited to fifteen (15) questions per day. No credit card required. Subject to feature limitations as described on the pricing page.
  • Plus ($9/month): Expanded question limits, conversation history, and additional features as described on the pricing page.
  • Tahqiq™ ($29/month): Advanced research capabilities, extended context, and enhanced source analysis features.
  • Institute ($99/month): Institutional-grade access, API availability, priority support, and advanced integration features.

3.2. Majlis™ (Institutional Product) — A scholarly research workspace designed for academic institutions, Islamic universities, and research organizations. Majlis™ is currently in development. Availability, pricing, and terms will be announced separately and may be subject to additional product-specific agreements.

3.3. Mizan™ (Enterprise Product) — An Islamic financial governance and compliance platform. Mizan™ is currently available under early access. Use of Mizan™ may be subject to additional enterprise terms and a separate Master Service Agreement.

3.4. We reserve the right to modify, add, remove, or restructure service tiers, features, and pricing at any time, subject to the notice provisions in Section 14.

4. Account Registration and Security

4.1. Eligibility. You must be at least thirteen (13) years of age to create an account or use the Services. If you are located in the European Union, European Economic Area, or the United Kingdom, you must be at least sixteen (16) years of age. By creating an account, you represent and warrant that you meet the applicable minimum age requirement.

4.2. Accurate Information. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. Providing false, misleading, or outdated information constitutes a breach of these Terms and may result in immediate termination of your account.

4.3. Account Security. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You agree to notify us immediately at legal@mindhyve.ai of any unauthorized use of your account or any other breach of security. We shall not be liable for any loss or damage arising from your failure to protect your account credentials.

4.4. One Account Per Person. Each individual may maintain only one (1) active account. Creating multiple accounts to circumvent restrictions, abuse free-tier limits, or for any other purpose is strictly prohibited.

4.5. No Credential Sharing. Account credentials are personal and non-transferable. You may not share your login credentials with any other person. Institutional accounts under the Institute tier or Majlis™ are subject to the seat-based terms specified in the applicable subscription agreement.

5. Acceptable Use Policy

5.1. Permitted Uses

You may use the Services to:

  • Submit questions about Islamic scholarship, theology, jurisprudence (fiqh), history, Quranic exegesis (tafsir), hadith sciences, and related disciplines;
  • Use EBOs for personal learning, academic research, and educational purposes;
  • Share TheoAI™ outputs with proper attribution to TheoAI™ and Eve-Theology, LLC;
  • Configure madhab preferences, personalization settings, and research parameters within the platform's interface; and
  • Export your conversations and EBOs for personal, non-commercial use, subject to the intellectual property provisions in Section 7.

5.2. Prohibited Uses

You shall not, and shall not attempt to, directly or indirectly:

  • Use TheoAI™ to generate, disseminate, or promote content that incites violence, terrorism, extremism, or hatred toward any individual, group, or community;
  • Deliberately attempt to cause TheoAI™ to produce fabricated hadith, false attributions, misleading scholarly citations, or inaccurate religious content;
  • Present TheoAI™ outputs as authoritative fatwas, binding religious rulings, or scholarly opinions issued by qualified human scholars;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying data structures of the Services or the IPSC™ corpus;
  • Use automated scripts, bots, spiders, scrapers, crawlers, or any automated means to access, query, or interact with the Services;
  • Circumvent, disable, or otherwise interfere with rate limits, access controls, authentication mechanisms, or any other security or technical measures;
  • Use the Services for any purpose that violates any applicable local, state, national, or international law or regulation;
  • Resell, sublicense, redistribute, or commercially exploit TheoAI™ outputs without prior written permission from Eve-Theology, LLC;
  • Use API access (Institute tier or otherwise) to build, train, or enhance any product or service that competes with TheoAI™ or any MindHYVE.ai, Inc. product;
  • Impersonate TheoAI™, Theo, any MindHYVE™ Digital Employee, or any representative of MindHYVE.ai, Inc. or Eve-Theology, LLC;
  • Engage in adversarial attacks, prompt injection, jailbreaking, or any technique designed to manipulate, degrade, or circumvent the platform's safety mechanisms or intended behavior;
  • Submit content containing malware, viruses, phishing schemes, or any other material that poses a security threat to the Services or other users; or
  • Collect, harvest, or aggregate data about other users of the Services without their express consent.

5.3. Enforcement. Violations of this Acceptable Use Policy may result in immediate suspension or permanent termination of your account, without prior notice, at our sole discretion. No refund shall be provided for any prepaid subscription period remaining at the time of termination for cause. We further reserve the right to report violations to appropriate law enforcement authorities.

6. Billing, Subscriptions, and Payments

6.1. Free Tier. The Free tier does not require a credit card or payment method. Free tier access is subject to daily question limits and feature restrictions as described on the pricing page. We reserve the right to modify or discontinue the Free tier at any time.

6.2. Paid Subscriptions. Paid tiers are billed on a monthly recurring basis. Payment is processed through Fiserv, Inc. ("Clover"), our third-party payment processor. By subscribing to a paid tier, you authorize us and Clover (Fiserv) to charge your designated payment method on a recurring basis. All prices are stated in United States Dollars unless otherwise indicated.

6.3. Price Changes. We reserve the right to modify subscription pricing at any time. We will provide at least thirty (30) days' prior written notice of any price increase via email to the address associated with your account or through an in-app notification. Your continued use of the Services after the price change takes effect constitutes acceptance of the new pricing.

6.4. Regional Pricing. We may offer regionally adjusted pricing based on your geographic location, as determined by your IP address, billing address, or other reasonable means. Regional pricing is offered at our sole discretion and may be modified or withdrawn at any time.

6.5. Auto-Renewal and Cancellation. All paid subscriptions automatically renew at the end of each billing period unless cancelled by you prior to the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date.

6.6. Refund Policy. No refunds will be issued for partial billing periods. All fees are non-refundable except as expressly stated herein or as required by applicable law.

6.7. Sadaqah Contributions. Sadaqah (community fund) contributions made through the platform are voluntary, non-refundable charitable donations. Such contributions do not entitle you to any additional features, credits, or preferential treatment.

6.8. Gift Codes. Gift codes, promotional codes, and access credits are single-use, non-transferable, have no cash value, and expire on the date stated at issuance. Gift codes may not be sold, bartered, or exchanged. We reserve the right to void gift codes obtained through fraud or in violation of these Terms.

6.9. Modification or Discontinuation of Tiers. We reserve the right to modify, suspend, or discontinue any service tier, feature set, or pricing model at any time, with or without notice. In the event of discontinuation of a paid tier, affected subscribers will receive a pro-rata refund for any unused prepaid period.

7. Intellectual Property

7.1. Company Intellectual Property

The following trademarks, service marks, and trade names are the exclusive property of MindHYVE.ai, Inc. and/or Eve-Theology, LLC:

  • TheoAI™, Majlis™, Mizan™, Tahqiq™, IPSC™, AXIOM™, Eve-Fusion™, Eve-Grid™, Eve-Genesis™, MindHYVE™, and the TheoAI octagonal star logo.

The Islamic Primary Source Corpus ("IPSC") is proprietary data owned by Eve-Theology, LLC. The Tahqiq™ methodology, cognitive operation chains, confidence scoring algorithms, grading systems, and all associated intellectual property are proprietary to Eve-Theology, LLC. The website design, source code, visual assets, and original content are copyrighted works of MindHYVE.ai, Inc. All rights not expressly granted herein are reserved.

7.2. User Content

You retain ownership of the questions, prompts, and other content you submit to the Services ("User Content"). By submitting User Content, you grant Eve-Theology, LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, process, and store your User Content solely for the purposes of:

  • Providing, operating, and improving the Services, including generating responses to your queries;
  • Storing conversation histories and user preferences;
  • Extracting and maintaining memory and personalization features;
  • Creating anonymized, aggregated, and de-identified analytics and usage data; and
  • Complying with applicable legal obligations.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe upon the intellectual property rights, privacy rights, or other rights of any third party.

7.3. Generated Content

AI-generated responses, including EBOs, source analyses, and scholarly summaries ("Generated Content"), are provided for informational and educational purposes only. Eve-Theology, LLC retains all rights in the structure, format, presentation methodology, and systematic organization of Generated Content. You may share Generated Content with attribution to TheoAI™. You may not represent Generated Content as your own independent scholarly work, academic research, or original analysis without clearly disclosing that it was generated by TheoAI™.

8. IPSC Corpus Terms

8.1. The IPSC™ corpus data, including computationally graded hadith, narrator assessments, chain analyses, and associated metadata, is proprietary to Eve-Theology, LLC and is not available for download, extraction, bulk access, or redistribution in any form.

8.2. Systematic, automated, or programmatic querying of the Services designed to extract, replicate, or reconstruct any portion of the IPSC™ corpus is strictly prohibited. This includes, without limitation, sequential querying of narrator chains, bulk hadith retrieval, and any activity that, in our sole determination, constitutes data extraction.

8.3. The IPSC™ corpus may be accessed exclusively through TheoAI™'s official interfaces: Theo, Majlis™, Mizan™, and authorized API endpoints. Any other means of access is unauthorized and constitutes a violation of these Terms and applicable law, including the Computer Fraud and Abuse Act (18 U.S.C. § 1030).

8.4. Citation of IPSC™ data in academic or published works must follow the citation format specified in the TheoAI™ methodology documentation, available at www.theogrid.ai.

9. API Terms (Institute Tier)

9.1. API access is available exclusively to users subscribed to the Institute tier or through a separately executed enterprise agreement. API access is subject to rate limits, usage quotas, and fair use policies as published in the API documentation.

9.2. API keys and authentication credentials are confidential and non-transferable. You are solely responsible for maintaining the security of your API keys. You must immediately revoke and rotate any API key that you suspect has been compromised.

9.3. You shall not use API access to build, develop, train, fine-tune, or otherwise create any product, service, dataset, or model that competes with or is substantially similar to TheoAI™ or any other product of MindHYVE.ai, Inc. or Eve-Theology, LLC.

9.4. Eve-Theology, LLC reserves the right to revoke, suspend, or throttle API access at any time, with or without notice, for violations of these Terms, excessive usage, or any conduct that, in our sole determination, threatens the integrity or availability of the Services.

9.5. API usage is subject to all other provisions of these Terms, including without limitation the Acceptable Use Policy (Section 5), Intellectual Property provisions (Section 7), and IPSC Corpus Terms (Section 8).

10. Disclaimer of Warranties

10.1. THE SERVICES, INCLUDING ALL CONTENT, FEATURES, AND GENERATED OUTPUTS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2. WITHOUT LIMITING THE FOREGOING, EVE THEOLOGY, LLC AND MINDHYVE.AI, INC. EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES THAT:

  • TheoAI™'s outputs, including EBOs, source citations, hadith texts, narrator assessments, or chain analyses, are complete, accurate, current, reliable, or free from error;
  • The Services are fit for any particular religious, legal, medical, financial, or other professional purpose;
  • The Services will be uninterrupted, timely, secure, or free from viruses, malware, or other harmful components;
  • Any defects in the Services will be corrected;
  • The hadith grading, narrator assessments, chain analyses, or confidence scores produced by the IPSC™ methodology are equivalent to or a substitute for the assessments of qualified hadith scholars (muhaddithin).

10.3. THE IPSC™ CORPUS GRADES HADITH USING COMPUTATIONAL METHODS. COMPUTATIONAL GRADES ARE ALGORITHMIC ASSESSMENTS BASED ON DOCUMENTED CRITERIA AND ARE NOT EQUIVALENT TO SCHOLARLY CONSENSUS (IJMA') OR THE INDIVIDUAL JUDGMENTS OF RECOGNIZED HADITH SCHOLARS. USERS MUST INDEPENDENTLY VERIFY ALL HADITH GRADES WITH QUALIFIED SCHOLARS BEFORE RELYING UPON THEM FOR RELIGIOUS PRACTICE OR SCHOLARLY WORK.

10.4. Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the foregoing exclusions shall apply to the fullest extent permitted by applicable law.

11. Limitation of Liability

11.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EVE THEOLOGY, LLC, MINDHYVE.AI, INC., OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "RELEASED PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2. THE AGGREGATE LIABILITY OF THE RELEASED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO EVE THEOLOGY, LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

11.3. WITHOUT LIMITING THE FOREGOING, THE RELEASED PARTIES SHALL NOT BE LIABLE FOR:

  • Any decisions made, actions taken, or actions not taken by you or any third party based on TheoAI™ outputs, including without limitation religious, legal, medical, financial, personal, or professional decisions;
  • Any errors, omissions, or inaccuracies in hadith grading, narrator assessments, evidence chains, Quranic references, or any other Generated Content;
  • Any interruption, suspension, or termination of the Services;
  • Any acts or omissions of third-party service providers, including without limitation Clover (Fiserv), Microsoft Azure, Anthropic, or any other technology or infrastructure provider; or
  • Any unauthorized access to or alteration of your data or transmissions.

11.4. The limitations in this Section 11 shall apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose. Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages. In such jurisdictions, the liability of the Released Parties shall be limited to the fullest extent permitted by applicable law.

12. Indemnification

12.1. You agree to indemnify, defend, and hold harmless MindHYVE.ai, Inc., Eve-Theology, LLC, and their respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your access to or use of the Services;
  • Your User Content;
  • Your violation of these Terms or any applicable law or regulation;
  • Your violation or infringement of any intellectual property, privacy, publicity, or other right of any third party;
  • Any reliance by you or any third party on TheoAI™ outputs for decision-making of any kind; or
  • Any dispute between you and any third party arising from your use of the Services.

12.2. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any claim without our prior written consent.

13. Dispute Resolution

13.1. Governing Law. These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

13.2. Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@mindhyve.ai and attempt to resolve the dispute informally for a period of at least thirty (30) days.

13.3. Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted by a single arbitrator in Orange County, California. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

13.4. Class Action Waiver. YOU AND EVE THEOLOGY, LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Eve-Theology, LLC agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

13.5. Exception for Injunctive Relief. Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in any court of competent jurisdiction for the protection of intellectual property rights, confidential information, or to prevent irreparable harm, without first engaging in arbitration or the informal dispute resolution process described above.

13.6. Statute of Limitations. You agree that any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

14. Modifications to Terms

14.1. We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. The "Effective Date" at the top of these Terms indicates the date of the most recent revision.

14.2. For material changes to these Terms, we will provide at least thirty (30) days' prior notice before the changes take effect. Notice will be provided via email to the address associated with your account, through an in-app notification, or by posting a prominent notice on the Services.

14.3. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services and terminate your account before the effective date of the changes.

15. Termination

15.1. Termination by You. You may terminate your account at any time through your account settings or by contacting us at legal@mindhyve.ai. Upon voluntary termination, you will retain access to paid features for the remainder of your current billing period.

15.2. Termination by Us. We may suspend or terminate your account and access to the Services, in whole or in part, at any time and for any reason, including without limitation for violations of these Terms, with or without prior notice, at our sole discretion. In the event of termination for cause, no refund shall be issued for any unused portion of a prepaid subscription period.

15.3. Effect of Termination. Upon termination:

  • Your right to access and use the Services ceases immediately (or at the end of the billing period for voluntary termination);
  • Any outstanding fees owed by you become immediately due and payable;
  • Data deletion and retention shall be handled in accordance with the data retention schedule set forth in our Privacy Policy; and
  • Sections 7 (Intellectual Property), 8 (IPSC Corpus Terms), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 13 (Dispute Resolution), and this Section 15.3 shall survive termination.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties.

17. Waiver

The failure of Eve-Theology, LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Eve-Theology, LLC.

18. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Eve-Theology, LLC. Eve-Theology, LLC may freely assign or transfer these Terms without restriction. Any attempted assignment in violation of this Section shall be null and void. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

19. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond the reasonable control of the affected party, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, or cyberattacks, provided that the affected party uses reasonable efforts to mitigate the effects of the force majeure event.

20. Entire Agreement
